K3Ts Partnership Terms and Agreements
Welcome to K3Ts Partnerships, where athletes, influencers, organizations, teams, and businesses gain the tools and opportunities to showcase and sell custom merchandise on our platform. By joining K3Ts, partners benefit from personalized collection pages, branded marketing materials, and high-quality designs that build visibility and expand their reach. Our partnership tiers—Starter, Premium, MVP, and Multiple Collection MVP—offer flexible options for branding, marketing, and profit-sharing, creating a simple and impactful way to share your brand.
Agreement to Terms
By selecting a partnership, you agree to the terms and conditions below. Please review the sections on payments, usage rights, promotional requirements, and collection setup before finalizing your partnership. Only individuals 18 years or older may agree to these terms independently; if you are under 18, your parent or legal guardian must set up your account and consent to the terms on your behalf.
1. Purpose
This Agreement outlines the partnership terms, enabling K3Ts, LLC to use the partner’s name, image, likeness (NIL), and branding elements to create, promote, and sell custom merchandise. In exchange, the partner will receive a revenue share based on their selected partnership tier and access to a customizable collection page with marketing tools provided by K3Ts.
2. Duration of Agreement
This Agreement begins on the effective date of sign-up and continues for the period designated by the chosen partnership tier. K3Ts reserves the right to terminate the Agreement for non-payment or breach of Agreement terms.
3. Payment Terms
Partners receive monthly payouts through CollabPay based on the profit-sharing percentage set by their partnership tier (20% for Starter, 25% for Premium, 30% for MVP, and 33% for Multiple Collection MVP). Payments are calculated after deducting any outstanding design, listing, or other applicable fees.
Payment Schedule
• Payments are issued monthly, starting 45 days after account activation.
• A 4% transaction fee applies to each payout.
• Payments may be withheld if monthly or annual partnership fees are not paid.
4. Partner Obligations
The partner agrees to:
• Promote their collection consistently through personal social media channels, events, and other marketing channels.
• Use marketing materials, including QR codes and social media posts, provided by K3Ts
• Fulfill any promotional obligations associated with their selected partnership tier
Important Note: All artwork, images, or logos submitted by the partner are deemed suitable for commercial use. The partner consents to their use and assumes responsibility for any licensing or copyright conflicts that may arise.
5. Use of NIL
K3Ts agrees to use the partner’s NIL in a manner consistent with any provided branding guidelines. The partner has the right to review and approve all merchandise designs featuring their NIL prior to sales. Individuals under 18 cannot independently agree to this Agreement; a parent or legal guardian must establish the account and consent to terms on behalf of the minor, including granting permission for K3Ts to use the minor’s NIL for promotional purposes.
6. Intellectual Property
The partner retains rights to their NIL, while K3Ts, LLC retains ownership of all product designs created under this Agreement. Without prior written consent from K3Ts, LLC, these designs may not be reproduced, printed, or used for other commercial purposes.
7. Grant of Rights
The partner grants K3Ts, LLC the non-exclusive, worldwide, royalty-bearing right to use their NIL and any submitted branding elements for:
• Creating and selling custom-designed merchandise
• Promoting collections on K3Ts website, social media, and additional marketing platforms
• Featuring the partner in blogs, photos, videos, and other promotional content
K3Ts, LLC retains ownership of all designs created for the partner during and after the Agreement period. These designs may not be reproduced by the partner on other items, prints, or for commercial use without express written consent from K3Ts, LLC. By partnering with K3Ts, the partner agrees that K3Ts, LLC may continue to use all designs featuring their NIL commercially for the duration of K3Ts, LLC’s existence, even if the partnership Agreement is terminated. This right supersedes any future licensing agreements and remains in effect indefinitely.
8. Collection Setup
Once all details are confirmed, design/listing fees paid, and approved photos uploaded, collections will be live on the K3Ts platform within 10 business days. Partners will receive notification once their collection is active.
9. Special Partnership Options
Fundraising Partnership
To qualify for the Fundraising Option, partnerships must support a direct event, cause, or non-profit organization actively raising funds. Eligible Fundraising Partners receive a 1-month free Premium Tier trial to utilize K3Ts platform at no initial cost.
• Eligibility Verification: K3Ts will verify Fundraising eligibility. If qualifications are not met, the partnership will be billed at the annual Premium rate and assigned to the Premium package.
Featured Partner (Invite Only)
Featured partnerships are invite-only, intended for select partners who are given a unique invitation code for activation. Without proper authorization and an invitation code, applications to become a Featured Partner will not be accepted. If an ineligible party registers for Featured Partner status without an invitation, they will be billed at the Premium annual rate and assigned to that partnership tier.
Featured Partners agree to the following:
• Weekly promotion of their collection on social media channels.
• Active participation in K3Ts marketing or ad content as needed.
No upfront costs are required for Featured Partners, as all Graphic Design, Listing, and Marketing Package fees are deducted directly from product sales. If sales do not cover associated costs, the balance for design, listing, and marketing fees will be billed monthly after an initial 60-day period.
10. Bonus Sales Incentives (Premium, MVP, and Multi-Collection MVP Only)
Premium, MVP, and Multi-Collection MVP partners are eligible for additional rewards through K3Ts Bonus Sales Incentive Program. As these partners reach key sales milestones, they receive exclusive bonuses to celebrate their success and support continued growth. Bonus Sales Milestones are listed on K3Ts website and are subject to change. Milestones posted at time of achievement will be honored.
Bonus Payout Terms:
• Bonus payouts are issued within 45 days of the sales milestone achievement.
• A 4% transaction fee applies to all bonus transfers.
These milestone bonuses are designed to reward Premium, MVP, and Multi-Collection MVP partners for their growth and success on the K3T’s platform.
11. Termination and Refund Policy
This Agreement may be terminated if:
• Either party provides 30 days’ written notice
• The partner fails to meet payment or promotional obligations
• K3Ts determines that the partner’s conduct or content usage violates Agreement terms or affects K3T’s reputation negatively
Refund Policy: In the event of early termination, no refund will be issued for any prepaid partnership fees or other payments. Additionally, any outstanding balance for unpaid fees, design costs, or listing expenses will be billed to the partner.
12. Confidentiality
Both parties agree to maintain confidentiality regarding the terms of this Agreement, disclosing them only as necessary to fulfill Agreement obligations or as required by law.
13. Indemnification
The partner agrees to indemnify and hold K3Ts harmless from any claims, damages, or losses arising from a breach of this Agreement, including any copyright or licensing conflicts.
14. Governing Law
This Agreement is governed by and construed in accordance with the laws of Pennsylvania, without regard to its conflict of law provisions.
Consent to Terms
By checking the box above and purchasing a Partnership Package, the partner confirms that they have read, understood, and agreed to all terms and conditions of this Agreement. Consent is recorded and stored in the partner’s membership portal.
